March 2025<\/time><\/div>\n\n\n<p>from<\/p>\n\n\n<div style=\"font-style:italic;font-weight:600;\" class=\"wp-block-post-author-name\">Helene Klassen-Rock<\/div><\/div>\n<\/div>\n\n\n\n<div class=\"wp-block-group alignwide has-global-padding is-content-justification-left is-layout-constrained wp-container-core-group-is-layout-c93ec0be wp-block-group-is-layout-constrained\">\n<p><strong>A coaching participant<\/strong> must pay the agreed remuneration. After the action for payment was dismissed in the first instance due to the invalidity of the contract, the Higher Regional Court of Naumburg ordered the participant to pay in the appeal instance. <\/p>\n<\/div>\n<\/div>\n<\/div><\/div>\n<\/div>\n\n<h2 class=\"wp-block-heading\">Are coaching contracts null and void?<\/h2>\n\n<p>Like several higher regional courts before it, the OLG Naumburg also dealt with the applicability of the FernUSG to coaching contracts. As in comparable cases, the parties were in dispute about the remuneration for a coaching session that the participant had already attended. Nevertheless, he refused payment on the grounds that the contract was null and void because the coaching provider did not have the supposedly required approval under the FernUSG.  <\/p>\n\n<p>The nullity of a coaching contract requires, in addition to the lack of authorization, that distance learning is the subject of the contract. This is the case if the contract fulfills the following characteristics: <\/p>\n\n<ul style=\"border-width:25px;margin-top:var(--wp--preset--spacing--40);margin-right:293px;margin-bottom:var(--wp--preset--spacing--40);margin-left:293px\" class=\"wp-block-list is-style-arrow has-border-color has-base-border-color\">\n<li><strong>For a fee<\/strong> <strong>Transfer of knowledge and skills<\/strong><\/li>\n\n\n\n<li><strong>Spatial separation of the teacher and the learner<\/strong><\/li>\n\n\n\n<li><strong>Monitoring the learning success<\/strong><\/li>\n<\/ul>\n\n<p>At first instance, the court assumed that the requirements for distance learning were met and dismissed the coaching provider&#8217;s claim for payment. The provider appealed against this &#8211; with success. <\/p>\n\n<h2 class=\"wp-block-heading\">No distance learning<\/h2>\n\n<p>In its ruling of 26.11.2024<a href=\"https:\/\/www.landesrecht.sachsen-anhalt.de\/bsst\/document\/NJRE001598457\">(AZ 1 U 41\/24<\/a>), the OLG Naumburg ruled that the coaching contract in the specific case did not relate to distance learning. The participant must therefore pay the contractually agreed remuneration.   <\/p>\n\n<div class=\"wp-block-group v4-pattern-general-quote-box has-kpw-orange-background-color has-background has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\" style=\"margin-top:var(--wp--preset--spacing--60);margin-bottom:var(--wp--preset--spacing--60)\">\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\" style=\"padding-right:var(--wp--preset--spacing--70);padding-left:var(--wp--preset--spacing--70)\">\n<p>To the extent that the Higher Regional Court of Celle considered the opportunity given to the participant to ask questions to be sufficient to check learning success, this is not convincing.<\/p>\n<\/blockquote>\n<\/div>\n\n<p>The court assumed that the applicability of the FernUSG does not fail due to the characteristic of imparting knowledge and skills, even if the contract contains advisory elements. In addition, the OLG also assumed a physical separation on the grounds that the participants acquire the knowledge themselves using the materials provided in a separate location from the teachers.   <\/p>\n\n<p>However, the court denied the characteristic of learning success control. The mere possibility of asking individual questions about the content of the coaching does not constitute a learning success check. The court criticized the frequently cited decision of the <a href=\"https:\/\/voris.wolterskluwer-online.de\/browse\/document\/1c2cff33-f211-4ea6-b212-0810008124f5\">OLG Celle<\/a> with reference to the wording of the FernUSG as unconvincing.  <\/p>\n\n<h2 class=\"wp-block-heading\">KPW wins ahead of LG Ellwangen<\/h2>\n\n<p>Das Landgericht Ellwangen (Jagst) hat die Klage eines Unternehmers auf R\u00fcckerstattung der Verg\u00fctung mit <a href=\"https:\/\/kpw.law\/wp-content\/uploads\/LG-Ellwangen-Urteil-1-O-58-24.pdf\">Urteil vom 05.03.2025 (AZ: 1 O 58\/24)<\/a> als unzul\u00e4ssig abgewiesen, nachdem die von uns vertretene Marketing-Dienstleisterin die Zust\u00e4ndigkeit ger\u00fcgt hatte. In Kenntnis der teilnehmerfreundlichen Rechtsprechung des <a href=\"https:\/\/www.landesrecht-bw.de\/bsbw\/document\/NJRE001599125\">OLG Stuttgart<\/a> hat sich das LG Ellwangen dennoch der Rechtsprechung des <a href=\"https:\/\/www.gesetze-bayern.de\/Content\/Document\/Y-300-Z-BECKRS-B-2024-N-30631?hl=true\">OLG M\u00fcnchen <\/a>und <a href=\"https:\/\/www.gesetze-bayern.de\/Content\/Document\/Y-300-Z-BECKRS-B-2024-N-31915?hl=true\">OLG N\u00fcrnberg<\/a> angeschlossen und best\u00e4tigt, dass das FernUSG im B2B-Bereich keine Anwendung findet und daher der ausschlie\u00dfliche Gerichtsstand am Wohnsitz des Teilnehmers nicht begr\u00fcndet war.<\/p>\n\n<h2 class=\"wp-block-heading\">Conclusion<\/h2>\n\n<div class=\"wp-block-columns v4-pattern-text-copy-half-col is-layout-flex wp-container-core-columns-is-layout-28f84493 wp-block-columns-is-layout-flex\">\n<div class=\"wp-block-column is-layout-flow wp-block-column-is-layout-flow\">\n<p><strong>Whether coaching meets the requirements for distance learning is a question of the individual case.  <\/strong><\/p>\n\n\n\n<p>There is currently no consensus in case law as to whether the FernUSG applies to coaching contracts or not. The content of the respective contractual agreement is decisive. In some cases, distance learning is denied because the coaching takes place via video conference and a physical separation is already excluded. The applicability of the FernUSG in the B2B sector and the requirements for monitoring learning success are also disputed.   <\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-column is-layout-flow wp-block-column-is-layout-flow\">\n<div style=\"height:100px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n<\/div>\n<\/div>\n\n<div class=\"wp-block-group alignwide has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\" style=\"margin-top:var(--wp--preset--spacing--80);margin-bottom:var(--wp--preset--spacing--80)\">\n<div style=\"height:50px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<div class=\"wp-block-group alignwide v4-pattern-cta-box has-secondary-background-color has-background has-global-padding is-layout-constrained wp-container-core-group-is-layout-a7c0d175 wp-block-group-is-layout-constrained\" style=\"padding-top:0;padding-right:0;padding-bottom:0\">\n<div class=\"wp-block-columns
